What is a Registered Agent?

A registered agent is an individual or entity designated by a corporation, limited liability company or limited partnership to collect legal documents and notifications on behalf of the entity. If you are filing your entity for the first time in Illinois or you are an out of state entity filing to transact business in Illinois, you are required to appoint a registered agent with an office located in Illinois. 805 ILCS 5/5.05.

When do I need to Hire a Registered Agent in Illinois?

You will need to hire a registered agent before filing an entity in Illinois. Before the Illinois Secretary of State will accept your filing, you will need to include registered agent information on your Articles of Incorporation, Articles of Organization, Certificate of Limited Partnership or Authority to Transact Business in Illinois, depending upon what entity you are filing.

What are the Requirements for a Registered Agent?

The registered agent must be either a person who resides in Illinois, or an entity specifically authorized by its Articles of Incorporation to act as a registered agent and which has an office in Illinois. The registered office must be located in Illinois, have a street or road address or rural route and box number, and be identical with the business office of the registered agent.

If I already have a Registered Agent, can I hire R&D?

Absolutely, it’s simple. You can file a Statement of Change of Registered Agent and/or Registered Office with the Illinois Secretary of State, listing R&D as your new registered agent.
